Terms of Service
The rules of using Digipassa — covering Extension License Packages, Digital Products, Digital Tools subscriptions, the reseller program, and payments inside Bangladesh.
Agreement
By creating an account, placing an order, or activating a key on Digipassa, you accept these terms. They apply equally to three product lines we operate — Extension License Packages, Digital Products, and Digital Tools subscriptions — and to two account types: customer and reseller. If you act on behalf of a company, you confirm you are authorised to bind it.
Eligibility
You must be at least 18 years old (or have a guardian's consent) and able to receive digital delivery in Bangladesh. Purchases made with stolen payment instruments, fake identity, or to circumvent a previous ban are void and the keys/files involved will be revoked without refund.
Extension License Packages
A license key activates the bound extension on a limited number of devices declared in the plan. Keys are tied to a hashed device fingerprint — moving to a new machine may require a manual unbind from your customer panel. Keys are not transferable to another account. Reverse engineering, key sharing, public posting, or attempting to bypass device binding terminates the license immediately and forfeits any remaining validity.
Digital Products
Downloadable products are delivered via signed, time-limited URLs from your customer panel. Your purchase grants a single end-user license to use the file — it does not grant rights to resell, sublicense, or redistribute the asset in original or modified form unless the product page explicitly states otherwise.
Digital Tools (subscriptions)
Tool plans grant access for the validity window shown at checkout (daily, monthly, or custom). Access can be paused or revoked if we detect automated abuse, credential sharing across unrelated users, or activity that violates the upstream tool provider's terms. Hosted tools depend on third-party APIs (including AI providers); short outages and provider-side limits are not grounds for refund unless they exceed our published SLA.
Payments — bKash, Nagad, Rocket, card & manual top-up
Prices on Digipassa are inclusive of applicable VAT and shown in BDT or USD depending on your region setting. Payments are processed by integrated gateways (aamarPay, ShurjoPay, UddoktaPay) or, for resellers, by approved manual top-up. An order is final only after the gateway returns a successful status; if money is debited but the order does not reach "paid", contact support with the transaction ID within 7 days.
Reseller program
Approved resellers receive wallet credit, can generate keys for their own customers, and apply their own branding. Resellers may NOT undercut the platform's anti-fraud rules, issue refunds in our name, claim to be Digipassa themselves, or onboard customers in countries we do not serve. Wallet balance is non-withdrawable cash equivalent — it can only be spent on the platform.
Acceptable use
You agree not to: (a) attack the platform (scraping at abusive rates, brute-forcing keys, exploiting bugs instead of reporting them), (b) use our tools or extensions to commit fraud, violate intellectual-property rights, or send unsolicited bulk messages, (c) resell access to third parties outside our reseller program, or (d) impersonate staff or other customers.
Suspension & termination
We may suspend or terminate an account, revoke keys, and refuse future orders if you breach these terms, charge back a paid invoice without contacting support first, or repeatedly trigger fraud signals. Where termination is our fault (e.g. wrong account closure), we restore access; where it is yours, no refund is due for unused validity.
Third-party tools & extensions
Some products integrate with or extend third-party platforms. Digipassa is not affiliated with those providers unless explicitly stated, and we cannot guarantee their continued availability. If a third-party provider blocks integration permanently, we will move you to an equivalent product where possible.
Intellectual property
All branding, source for the extensions we publish, and the storefront itself remain the property of Digipassa and its licensors. Your purchase grants a use license — never ownership of the underlying code.
Limitation of liability
Digipassa is provided on an "as is" and "as available" basis. To the maximum extent permitted by Bangladesh law, our total liability for any claim is capped at the amount you paid for the specific order giving rise to the claim in the 90 days before the event. We are not liable for indirect, incidental, or consequential losses, including lost profits or data.
Changes & governing law
We may update these terms; material changes will be announced in your customer/reseller panel. Continued use after the change date means acceptance. These terms are governed by the laws of Bangladesh and disputes fall under the exclusive jurisdiction of the courts of Dhaka, unless local consumer law grants you a non-waivable right elsewhere.
